agreed start date and continue for the duration specified in the contract.
Service Delivery

Service Availability

affect service availability. In such cases, we will make every reasonable effort to restore services as quickly as possible.
Confidentiality
- • Confidential Information: Both parties agree to treat all confidential information shared during the term of service as strictly confidential.
- • Non-Disclosure: Neither party will disclose any confidential information to third parties without prior written consent from the other party.
Data Protection
- • Compliance: Spiral Digital Services Limited complies with all applicable data protection laws and regulations.
- • Data Handling: Client data will be collected, used, and processed in accordance with our Privacy Policy.
- • Security: Appropriate technical and organisational measures are in place to ensure the security and confidentiality of client data.
Intellectual Property
- • Ownership: All intellectual property rights related to the services, including methodologies, software, and tools, remain the property of Spiral Digital Services Limited
- • License: The client is granted a non-exclusive, non-transferable license to use the deliverables provided under the service agreement for their intended purpose.
Termination
- • Termination by Client: The client may terminate the service agreement by providing 30 days' written notice.
- • Termination by Company: Spiral Digital Services Limited reserves the right to terminate the agreement with immediate effect in the event of a material breach by the client.
- • Consequence of Termination: Upon termination, all outstanding fees become due and payable, and the client must cease using any deliverables and return any company property.
Limitation of Liability
To the fullest extent permitted by law, Spiral Digital Services Limited's liability for any claims arising from the services provided shall be limited to the total fees paid by the client for the services in the
preceding 12 months. We shall not be liable for any indirect, incidental, or consequential damages.
Indemnification

• Client Indemnity: The client agrees to indemnify and hold Spiral Digital Services Limited harmless from any claims, damages, liabilities, or costs arising from the client's use of the services or breach of
these terms.

• Company Indemnity: Spiral Digital Services Limited agrees to indemnify and hold the client harmless from any claims, damages, liabilities, or costs arising from our gross negligence or wilful misconduct.
Governing Law
This agreement shall be governed by and construed in accordance with the laws of Hong Kong. Any disputes arising out of or related to this agreement shall be subject to the exclusive jurisdiction of the
courts of the Hong Kong.
